年終分兩次給 - 法律

請教一下各位先進
公司明文規定,每年盈餘的 XX% 拿出來當作員工年終獎金,依考績分配
但是,就在發年終的 "同時",也就是"公告"年終已入戶頭時,才說要分兩次給
一次是過年前的一月底,一次要等到六月底。
目的說是要留人,不致大家領完年終走人.....或其他不願明講的原因
以下問題請問
(1) 年終是員工辛苦一年的報酬,且明文規定會有的員工福利。
老闆可以擅自把他當作留人、或是隔年現金運用的手段嗎??
(2) 在事先沒有公告的情況下,實施跟公告一起發佈是否會有問題??
