Table of Contents
ConfidentialityExceptasmayberequiredbylaworasmaybereasonablynecessarytoenforcerightshereunder,eachpartyagreesthatduringthetermofthisAgreementandthereafter(a)itwilluseConfidentialInformationbelongingtotheothersolelyforthepurposesofthisAgreementand(b)itwillnotdiscloseConfidentialInformationbelongingtotheothertoanythirdparty(otherthanitsemployeesand/orconsultantsreasonablyrequiringsuchConfidentialInformationforpurposesofthisAgreementwhoareboundbyobligationsofnondisclosureandlimiteduseatleastasstringentasthosecontainedherein)withouttheexpresspriorwrittenconsentofthedisclosingparty.Eachpartyfurtheragreesthatexceptasreasonablynecessaryforperformancehereunderorotherwiseexpresslyrequiredbylaw,itwillnotpubliclyannounceorotherwisediscloseanyofthetermsandconditionsofthisAgreementwithouttheexpresspriorwrittenconsentoftheother.EachpartywillpromptlyreturntotheotheruponrequestanyConfidentialInformationoftheotherpartytheninitspossessionorunderitscontrol.TheprovisionsofthisParagraph8willsurvivetheexpir
