版主貼出的這部分NDA條文，在我看來：除了(d)penalty的部分有問題（容後詳述），其它的尚屬合理。但因不了解Discloser與Recipient的商業往來關係，所以無從以business的角度分析其合理性。基本上，這部分敘述recipient不擁有confidentialinformation的智慧財產權（IPrights)，所以只能進行disclosure同意的活動：customerdevelopment.其餘不得揭露（對必要知道資訊的客戶之外）、製造、申請成為自己的專利、轉讓、授權。recipient也同意遵守各國對於智財權輸出保護之條款。(d)部分有問題是，一旦違反以上同意遵守事項，recipient同意在三天之內支付discloser一百萬美元為賠償金。這部分你會願意簽嗎？在任何規範字眼都沒有的情況下，由誰來認定trespassing事實呢？況且法律和約違約，就交由法律途徑解決啊！何苦私下便要求支付賠償金？那支付之後換來的權利、義務、或豁免
